Terms of Service

These terms govern the use of HIMASYN between ARROW GROUP, S. R. L. ("ARROW GROUP", owner of the HIMASYN brand) and the company that subscribes to the service ("the client"). By using HIMASYN, the client accepts them.

1. The service

HIMASYN is a cloud platform for businesses that includes ERP (sales and point of sale, inventory, products and pricing, purchasing, accounting and e-CF electronic invoicing), customer management, offers and coupons, human resources and payroll, and Conecta for WhatsApp, Messenger and Instagram with an AI Agent. It is provided by subscription, with the modules the client contracts.

2. Accounts and users

• The client creates its company's users and assigns their permissions.
• Each user must keep their credentials safe and not share them.
• The client is responsible for what its users do on the platform.

3. Acceptable use

The client agrees to:

• comply with Dominican law and the law of the countries where it operates, including its tax obligations with the DGII;
• comply with the WhatsApp Business, Messenger, Instagram and Meta policies when using Conecta;
• send marketing messages only to people who gave their consent, and honor opt-outs;
• not send spam or illegal, misleading or offensive content;
• not attempt to access other companies' data or affect the security or operation of the service.

ARROW GROUP may suspend an account that breaks these rules, after notifying the client.

4. Client responsibilities

• The accuracy of the tax data it records and of the receipts it issues.
• Obtaining consent from its customers and employees to process their data, and informing them about it.
• The messaging costs Meta charges for WhatsApp conversations and templates.
• The setup and use of the AI Agent, and reviewing what it replies on the client's behalf.

5. Conecta and Meta's platforms

Conecta uses the official WhatsApp Business, Messenger and Instagram APIs. Those services belong to Meta Platforms and are subject to their own terms. ARROW GROUP is not responsible for changes, outages or restrictions that Meta applies to its platforms or to the client's account.

6. AI Agent

The AI Agent generates automatic replies using the data the client has in HIMASYN, such as prices, stock and coupons. It can make mistakes: the client decides when a conversation must be handed to a person and is responsible for commercial commitments made on its behalf.

7. Pricing and payment

• Prices, modules and payment terms are agreed in the quote or contract.
• The subscription is paid in advance for each period.
• If a payment is late, ARROW GROUP may suspend access after notice. Data is kept in the meantime.

8. Availability and support

ARROW GROUP works to keep the service available every day and gives advance notice of scheduled maintenance. Support is provided through the channels and hours stated in the contract.

9. Ownership and data

• HIMASYN, its code, design and brand are owned by ARROW GROUP.
• The data the client records belongs to the client. ARROW GROUP processes it as a processor, under the Privacy Policy.

10. Cancellation and data export

• The client can cancel the subscription at any time, effective at the end of the paid period.
• When the service ends, the client can request an export of its data in a common format during the following 30 days.
• After that period, the data is deleted, except data the law requires us to keep.

11. Limitation of liability

To the extent permitted by law, ARROW GROUP is not liable for indirect damages, lost profits or data loss caused by the client or third parties. ARROW GROUP's total liability is limited to the amount the client paid in the 12 months before the event that gave rise to it.

12. Changes to these terms

If we change these terms, we will publish the new version on this page and notify clients at least 30 days in advance when the change is significant.

13. Governing law

These terms are governed by the laws of the Dominican Republic. Any dispute will be submitted to the courts of Santo Domingo, Distrito Nacional.
